Learn the Landscape

Do now, while still employed -- no filings, just knowledge
Why this phase matters: Everything here can happen while you're still at AlphaSense. No filings, no money spent, no signals. Just building the mental model so you can move fast when the time comes.

Business Structure

Understand the difference between sole proprietorship and LLC Learn
LLC creates legal separation between you and the business. Your personal assets (savings, car) are protected from business debts/lawsuits. As a consultant working with clients, this matters.
Learn NY LLC formation process and costs Learn
File Articles of Organization with NY Secretary of State. NY charges a $200 filing fee + mandatory publication requirement (can cost $300-1500+ depending on county). Lewis County is cheaper than NYC.
Understand independent contractor vs. employee classification Learn
As a consultant, your clients are not your employers. You control how work is done, provide your own tools, can work for multiple clients. They send 1099-NEC forms if they pay $600+.

Tax Fundamentals

Learn how self-employment tax works (15.3%) Learn
You pay both employer and employee portions of Social Security (12.4%) and Medicare (2.9%). You can deduct 50% of SE tax as an income adjustment. This is the biggest tax surprise for new freelancers.
Understand common business deductions Learn
Home office ($5/sqft, max 300 sqft = $1,500), vehicle mileage ($0.725/mi), health insurance premiums (100% deductible), equipment, software, internet. Deductions reduce taxable income, not taxes dollar-for-dollar.
Learn quarterly estimated tax payments Learn
No employer withholds taxes for you. IRS expects quarterly payments (Apr 15, Jun 15, Sep 15, Jan 15). Underpaying triggers penalties. Rule of thumb: set aside 25-30% of profits.
Understand business losses and how they offset W-2 income Learn
If your business expenses exceed income, the loss can offset other income (like a W-2 from a day job) up to $256K for single filers. Excess becomes Net Operating Losses carried forward.

SEAP Program

Read the full SEAP eligibility requirements Critical
Must be 18+, identified by NY profiling system as likely to exhaust UI, eligible for 13+ weeks of UI when applying, first-time owner of this business type, full-time commitment, one-time lifetime use. You need a specific business idea before applying.
Understand the SEAP benefit: UI payments while building a business Learn
Up to 26 weeks of UI benefits (max $504/week in 2026). No requirement to job search. You can earn business income while receiving benefits. Must complete orientation, 20hrs training, and meet with counselor 2x.
Locate your nearest SBDC center for required counseling Action
SEAP requires meeting with a business counselor at least twice. NY SBDC has 24 regional centers. Find yours at nyssbdc.org. This is free.

Consulting Domain Knowledge

Learn the common SMB tech stack layers Learn
Most local businesses run some combination of: POS (Square, Clover, Toast), accounting (QuickBooks, Wave, Xero), CRM (HubSpot free, Salesforce Essentials, Zoho), email marketing (Mailchimp, Constant Contact), scheduling (Calendly, Acuity), and a website (Shopify, Squarespace, WordPress). Knowing what each layer does and who the major players are is table stakes.
Understand system integrations: what connects, what breaks Learn
The real value is knowing how these tools talk to each other. POS syncs sales to QuickBooks (if configured). CRM captures leads from the website form. Email marketing pulls contacts from the CRM. Common failure points: duplicate data entry, systems that don't sync, manual CSV exports bridging tools that should be connected. Learn Zapier, Make (formerly Integromat), and native integrations.
Learn the build vs buy decision framework Learn
Almost always "buy" for SMBs. Custom software costs $10K-100K+ and needs maintenance. Off-the-shelf covers 80% of needs at $20-200/mo. The decision tree: Does a tool exist for this? -> Can it be configured to fit? -> Can it integrate with existing tools? -> Only if all three are "no" should you consider custom. Your job is steering clients away from expensive custom builds when a $50/mo SaaS solves it.
Learn how to run a technology audit for a client Learn
Walk through: What tools are you paying for? What's actually being used? Where are you entering the same data twice? What's on paper that should be digital? What breaks or frustrates you weekly? Map current state (tools + data flows), identify gaps and redundancies, then recommend changes prioritized by impact and effort. This is your core deliverable as a consultant.
Understand vendor economics and honest recommendations Learn
Some consultants become resellers and mark up software. Others charge for implementation. Know the difference and decide your model. Understand: subscription costs, implementation/migration effort, training time, ongoing support needs, and switching costs. Being vendor-agnostic builds trust. Clients smell commission-driven recommendations.
Learn where AI actually helps SMBs (and where it's hype) Learn
Practical AI for local businesses today: chatbots for after-hours FAQ, AI-assisted email drafting, automated social media scheduling, receipt/invoice processing, review response generation. Not practical yet: fully autonomous customer service, complex decision-making, anything requiring deep domain context the business hasn't documented. Your edge is separating real value from vendor marketing.
Study common SMB pain points by industry Learn
Retail: inventory management, POS integration, online/offline sales sync. Restaurants: reservation systems, delivery platform management, menu updates across platforms. Services (plumbers, electricians, etc.): scheduling, invoicing, job tracking. Professional services (lawyers, accountants): client management, document handling, billing. Each industry has specific workflows and specific tools.

Business Planning

Define your consulting service offering Action
What specifically will you help local SMBs with? AI implementation? Process automation? Digital transformation? Tech strategy? The more specific, the easier to sell and price.
Research your local market (Lewis County + surrounding areas) Action
What businesses exist? What pain points do they have? Who else offers consulting? What can you provide that they can't? Talk to local business owners informally.
Draft a rough pricing model Action
Hourly vs. project-based vs. retainer. Research market rates for SMB consulting in your area. Consider: local businesses may not pay NYC rates, but your overhead is also lower.
1

Pre-Separation Prep

2-4 weeks before leaving -- set up the legal and financial foundation
Important: Do NOT form the LLC yet. SEAP requires your business to be "new." Forming an LLC before SEAP approval could disqualify you since the state may consider it as having already "started" the business. Legal formation moves to Phase 2 after you have written SEAP approval. This phase is about everything you CAN safely do before leaving.

Financial Prep (No LLC Needed)

Choose and set up accounting software Action
Wave (free) is fine for starting out. QuickBooks ($30/mo) is the industry standard if you want to scale. You can set this up on a personal account now and migrate to a business account later. Start learning the interface.
Research payment processing options Learn
For consulting, invoice-based payments are most common. Stripe (2.9% + $0.30) or QuickBooks Payments (2.9% + $0.25) integrate with accounting. ACH transfers save on fees for larger invoices. Know your options before you need them.

Contracts and Agreements

Draft a client service agreement template Action
Defines scope, deliverables, payment terms, timeline, IP ownership, termination clauses. This protects both you and the client. SBDC counselors can review drafts for free.
Prepare an NDA template Action
Clients may want one before sharing business details. Having your own ready shows professionalism. Protects both parties' confidential information.

Insurance Research

Get quotes for General Liability insurance Action
Protects against third-party claims. ~$40-50/mo in NY. Check Insureon, Hiscox, NEXT Insurance for instant quotes. Some clients will require this before signing contracts.
Get quotes for Professional Liability / E&O insurance Action
Covers claims of negligence or errors in your consulting work. Essential for professional services. ~$83/mo nationally. Get this before taking on clients.
Research health insurance options post-employment Critical
COBRA from AlphaSense (expensive, temporary), NY State of Health marketplace (nystateofhealth.ny.gov), or private plan. Self-employed can deduct 100% of premiums. Don't let coverage lapse.
2

Separation + SEAP Activation

Immediately after leaving -- file UI, apply for SEAP, start the clock
Critical sequencing: You must file for Unemployment Insurance first, then apply for SEAP. You can't do SEAP without an active UI claim. The profiling system determines eligibility -- you don't control this part, but having 13+ weeks of eligibility remaining is a requirement.

Unemployment Insurance

File for Unemployment Insurance benefits Critical
File online at labor.ny.gov within 1 week of separation. Have ready: SSN, employer info, dates of employment, reason for separation. NY max benefit is $504/week (2026).
Wait for UI eligibility determination and profiling Critical
NY's profiling system identifies claimants likely to exhaust benefits. You must be flagged by this system for SEAP eligibility. This typically happens during initial claim processing.

SEAP Application

Apply for SEAP as soon as eligible Critical
Must have 13+ weeks of UI remaining when you apply. Don't wait -- apply immediately once UI is approved and profiling is done. Have your business idea clearly defined (SMB consulting).
Complete SEAP 2-part orientation video Action
Required program step. Covers program expectations, reporting requirements, and available resources.
Schedule first SBDC counselor meeting Action
SEAP requires at least 2 meetings with a business counselor. Schedule the first one immediately. They can help refine your business plan, review contracts, and connect you with resources.
Begin 20 hours of entrepreneurial training Action
SEAP requires completing at least 20 hours. SBDC and SCORE offer free workshops. Online courses count too. Topics: business planning, marketing, financial management, legal basics.
Submit progress benchmark forms to NY DOL Action
SEAP requires regular progress reporting. Document: business activities, client outreach, training completed, revenue (if any). Keep meticulous records.

Legal Formation (After SEAP Approval)

File Articles of Organization for NY LLC Critical
Now that SEAP is approved, form the LLC. File with NY Department of State. $200 filing fee. Can do online at dos.ny.gov. Choose a name, designate a registered agent (can be yourself), specify county of organization.
Complete NY LLC publication requirement Action
NY requires publishing notice of LLC formation in 2 newspapers (one daily, one weekly) for 6 consecutive weeks in the county of formation. Cost varies wildly by county. Lewis County is much cheaper than NYC.
Write an Operating Agreement Action
Even as a single-member LLC, NY requires one. Defines ownership, profit distribution, management structure. Templates available from LegalZoom, Rocket Lawyer, or free from SBDC counselor.
Get an EIN from the IRS Action
Free, instant online at irs.gov. You need this for business bank accounts, tax filings, and hiring. Apply after LLC is formed so you can associate the EIN with the LLC.
Open a dedicated business bank account Critical
Separates personal and business finances. Required for LLC liability protection to hold up. Bring: EIN letter, Articles of Organization, Operating Agreement, personal ID.
3

Launch + First Clients

First 30-60 days of operation -- get revenue flowing
SEAP allows you to earn business income while receiving UI benefits. You don't need to wait until SEAP ends to start making money. In fact, showing revenue progress strengthens your SEAP reporting.

Client Acquisition

Set up Google Business Profile Action
Free listing for local visibility. Shows up in Google Maps and local search. Essential for a local consulting business. Add your services, hours, service area.
Reach out to your local network Action
Your first clients will likely come from people you already know. Chamber of Commerce, local business associations, former colleagues, family connections. Tell everyone what you're doing.
Join the local Chamber of Commerce Action
Networking hub for local businesses. Many chambers have affordable rates for solo businesses. Attend meetings, offer to speak about how technology can help local businesses.
Land your first paying client Critical
Consider offering a discounted initial engagement to build a case study and testimonial. First client is proof of concept -- it validates your offering and gives you material for marketing.

Operations

Purchase General Liability + E&O insurance Action
Get coverage before your first client engagement. You can start with basic coverage and increase as revenue grows. Some clients will require proof of insurance.
Establish a bookkeeping routine Action
15 minutes weekly: categorize transactions, save receipts (use phone to scan), reconcile bank statement monthly. This saves hours at tax time and keeps you informed about cash flow.
Complete second SBDC counselor meeting Action
Required for SEAP. Use this meeting to review early results, adjust strategy, get feedback on pricing and positioning.
Complete 20 hours of entrepreneurial training Action
SEAP requirement. Track all training hours with certificates/records. SCORE workshops, SBDC courses, and approved online programs all count.

IP Protection

Consider trademark registration for your business name Learn
$275 per class through USPTO. Not urgent day one, but worth doing once you're committed to the name. Prevents others from using your brand in your service category.
Ensure work-for-hire clauses in contractor agreements Learn
If you hire subcontractors, make sure your agreements specify that work product belongs to you (or your client). Without this, the contractor may own the IP they create.
4

Sustain + Scale

After SEAP ends -- self-sustaining operations and growth decisions
This phase is about building sustainability. SEAP benefits last up to 26 weeks. By the time they end, you should have recurring revenue or a strong pipeline. These items set you up for the long game.

Tax Optimization

Make first quarterly estimated tax payment on time Critical
Due dates: Apr 15, Jun 15, Sep 15, Jan 15. Use IRS Form 1040-ES. Calculate based on expected annual income. Underpayment triggers penalties.
Evaluate S-Corp election for tax savings Learn
Once you're earning $60K+, electing S-Corp status for your LLC can save on self-employment tax. You pay yourself a "reasonable salary" and take the rest as distributions (not subject to SE tax). Consult an accountant.
Set up a retirement account (SEP IRA or Solo 401k) Action
SEP IRA: contribute up to 25% of net earnings (max $70K in 2026). Solo 401(k): $23,500 employee + 25% employer contribution. Both reduce taxable income. Huge advantage of self-employment.

Growth

Build a referral system Action
Ask every satisfied client for referrals and testimonials. Consider a referral incentive (discount on next engagement, gift card). Word of mouth is the #1 growth channel for local consulting.
Develop recurring revenue (retainers, maintenance contracts) Action
Project-based consulting has feast/famine cycles. Retainer agreements (monthly fee for ongoing support/availability) provide predictable income. Even small retainers add up.
Evaluate whether to hire help (subcontractors first) Learn
When demand exceeds your capacity, subcontract before hiring employees. Employees trigger workers' comp requirements, disability insurance, payroll taxes. Subcontractors are simpler but require 1099 filings.
Find a CPA who specializes in small business Action
A good accountant pays for themselves in tax savings and peace of mind. Look for someone familiar with LLC taxation, S-Corp elections, and self-employment. 100% deductible as a business expense.
